Terms of Service

Last updated: October 12, 2026

These Terms govern access to Sidetalk, the cloud-based AI customer support software operated by Cosmosfarm Software ("we", "us", or the "Company"). Please read them before using the Service.

1. The Service

Sidetalk provides online access to AI chatbots and agents, a website chat widget, a knowledge base, conversation management, and supported integrations. Paid plans provide a software subscription and the usage allowances shown on the pricing page or at checkout. Access is delivered through your online account; no physical product is shipped.

2. Definitions

"Service" means Sidetalk's websites, applications, software, and related features. "Customer" means the person or organization using the Service. "User" means a person authorized to act for a Customer. "Content" includes documents, messages, files, images, audio, video, and other information submitted or created through the Service. "Account Data" means information provided to register and manage an account. A "subscription period" is the paid access period shown when a plan is purchased.

3. Availability and Changes to These Terms

These Terms are available on our website. We give at least seven days' notice of amendments, including the reason, effective date, and the option to end the agreement if you disagree. For material changes or changes unfavorable to Customers, we give at least one month's notice. Notice may be provided by email or through the Service. Changes take effect on the stated date, subject to applicable law.

4. Acceptance and Authority

The service agreement is formed when we accept your application to use Sidetalk. By accepting these Terms, registering, or accessing the Service where these Terms are presented, you agree to them to the extent permitted by law. If you act for an organization, you must have authority to bind it. If you do not agree, do not use the Service.

5. Registration

Provide accurate registration information and keep it current. We may request your name, email address, telephone number, identity or age verification, or a legal representative's details when necessary to provide the Service. Failure to provide required information may prevent registration or use. You are responsible for losses caused by false or inaccurate information you submit.

6. Eligibility and Account Approval

We may refuse registration involving impersonation, false information, previous violations, duplicate registrations intended to evade restrictions, unlawful purposes, malware, or attempts to reverse engineer the Service. Applicants under 14 require a legal representative's consent. Additional age and consent requirements under applicable law also apply.

Approval may be delayed while capacity, technical, payment, or other operational issues are resolved.

7. Account Security

Protect your credentials and do not transfer or lend your account or password. Tell us promptly if credentials are lost, stolen, or used without authorization, and follow reasonable security instructions. We may require credentials to be changed for security or operational reasons. You are responsible for unauthorized use resulting from your failure to protect credentials, except where applicable law provides otherwise.

8. Personal Information

We process Account Data and other personal information as described in our Privacy Policy. We may request additional information necessary to provide the Service and obtain consent where required. We use reasonable measures to protect information against loss, unauthorized access, disclosure, and alteration. Third-party websites have their own policies.

9. Account Updates

Update account and contact information promptly when it changes. You are responsible for consequences of providing inaccurate information or failing to update it.

10. Customer Responsibilities and Acceptable Use

You must comply with applicable law and these Terms, and ensure your authorized Users do the same. You must have the rights and permissions needed for Content you upload and for personal information you ask Sidetalk to process.

  • Do not impersonate others, submit false information, or disclose information without authorization.
  • Do not resell the Service without authorization, or redistribute Content you do not own or have permission to distribute.
  • Do not copy, reverse engineer, decompile, or attempt to discover the Service's underlying software or technology, except where applicable law permits it.
  • Do not access restricted systems, interfere with other Customers, bypass usage limits, or upload malicious code.
  • Do not reproduce our proprietary materials or use confidential service information to develop a competing product, except where permitted by law.
  • Do not use the Service for unlawful activity or in violation of applicable export controls and sanctions.

We may investigate violations and take proportionate action, including warnings, removing Content, restricting access, or terminating an account. We may seek compensation for losses attributable to your unlawful conduct or breach, subject to applicable law.

11. Service Availability and Integrations

We aim to provide the Service 24 hours a day, throughout the year. Maintenance, upgrades, technical incidents, or other operational needs may interrupt access. Use the supported interfaces and authorized integrations. Your own internet, device, or telecommunications costs are your responsibility. Third-party integrations depend on the relevant provider's availability and terms.

12. Free Features and Trials

Free features or trials may be offered for a limited period or scope. Their availability and conditions are shown in the Service and may change, subject to applicable law. These Terms also apply to free use. Keep independent copies of important Content.

13. Subscription Fees, Billing, and Taxes

The plan, price, currency, billing period, and included credits are shown on the pricing page and at checkout. You authorize charges for the subscription and other purchases you agree to. Where recurring billing is enabled and authorized at checkout, charges continue for the disclosed billing period until you cancel. Applicable taxes may be added and are shown with the transaction.

Unless stated otherwise, prices exclude applicable taxes and separately agreed charges. Valid exemption documents may be requested. Invoices and billing notices may be delivered electronically. Fee increases apply from a subsequent subscription period after notice; a previously disclosed promotional price may end according to its stated terms.

Fees for an ordinary monthly subscription's current paid period are generally non-refundable. Separate rules apply to eligible prepaid and long-term contracts, billing errors, and mandatory legal rights. See our Refund Policy.

For a qualifying service interruption lasting more than 72 hours in a calendar month, the service terms provide an affected Customer with a one-month service coupon, valid for six months and not transferable or reissued after expiry. This provision does not limit remedies required by law.

Unpaid amounts may result in collection action and reasonable collection costs. Late interest is limited to the lower of 2% per month and the maximum rate permitted by applicable law.

14. Access to Customer Content

We use reasonable technical and physical safeguards for Content. We access or process it as permitted by these Terms and the Privacy Policy, as instructed or authorized by you, as needed to provide the Service, or as required by law. We notify affected Customers of confirmed unauthorized access as required by applicable law.

15. Communications and Third-Party Links

We may provide operational notices and service information through the Service or by email. Advertising and third-party links may appear where permitted by law. Third-party content and services are outside our control and are governed by their own terms.

16. Suspension

We may suspend or restrict access if you disrupt operations or breach these Terms. Suspension for a Customer's breach does not ordinarily entitle that Customer to a refund, except where applicable law or the Refund Policy requires otherwise.

17. Intellectual Property

We retain rights in Sidetalk, its software, trademarks, designs, and related proprietary materials. You retain ownership of Content you create or own. Using the Service does not transfer ownership of the software to you. Respect third-party intellectual property and notify us if you believe Content infringes your rights.

18. High-Risk Uses and AI Outputs

Do not rely on Sidetalk in high-risk environments such as vehicle operation, nuclear facilities, aircraft navigation, life-support systems, or weapons systems. AI-generated answers can be inaccurate or incomplete. Review outputs before relying on them, and provide appropriate human oversight for your customer support operations. The Service does not guarantee a particular business outcome.

19. Billing Corrections and Refunds

Duplicate charges and overpayments are corrected after verification. Where we are responsible for an overpayment, applicable interest is handled under the service terms and applicable law. With prior notice, refunds may be credited against future charges; overdue amounts may be deducted where permitted.

For an eligible prepaid contract ended early, usage is calculated on a daily basis using the undiscounted monthly price. The remaining prepaid amount is refunded within 15 days of the request; where cancellation is at the Customer's choice or due to the Customer's fault, 90% of that remainder is refunded and 10% may be retained as an early termination charge.

For a long-term discounted contract, its specific terms and discount apply. In the absence of a separate agreement, 80% of the unused balance is refunded. The long-term rule applies instead of the general prepaid rule, so deductions are not applied twice. See the Refund Policy for details. Mandatory consumer rights and applicable checkout seller terms take precedence where required.

20. Cancellation by the Customer

You may request cancellation using the procedure shown in your account or by contacting support. For an ordinary paid subscription, cancellation takes effect at the end of the current paid period unless an applicable refund or legal right requires earlier termination. If we materially breach the agreement and fail to remedy the breach within 30 days after your written notice, you may give written notice to terminate, without limiting applicable legal remedies.

21. Termination by the Company

We may terminate the agreement if account approval was obtained improperly or you breach your obligations. Amounts paid are not ordinarily refunded when termination is attributable to your breach, subject to applicable law and the Refund Policy.

22. Effect of Cancellation

When you cancel an ordinary monthly subscription, you may continue using the paid Service until the end of the paid period. We do not ordinarily refund unused days in that period. The same principle applies to a plan change during a paid period unless otherwise agreed. Eligible prepaid or long-term termination refunds follow Section 19. Accrued obligations and provisions intended to survive termination continue to apply.

23. Mandatory Legal Rights

Nothing in these Terms limits non-waivable rights to withdraw, cancel, terminate, receive a refund, or obtain another remedy under applicable law. This includes rights that may apply to Customers in the United States, Canada, or another jurisdiction. Where a mandatory rule conflicts with these Terms, that rule prevails.

24. Discontinuation of the Service

If we permanently discontinue the Service, we give at least one month's advance notice through the Service or by email. Any limitations on compensation remain subject to applicable law and mandatory refund rights.

25. Notices

We use the email address registered in your account for individual notices. Keep that address current. General notices may be posted on the website or in the Service for at least seven days. Notice procedures remain subject to applicable law.

26. Liability and Indemnity

Each party is responsible for losses it causes through intentional misconduct, negligence, or breach to the extent required by law. To the extent permitted by law, you are responsible for third-party claims arising from your unlawful Content or misuse of the Service. We may seek appropriate remedies for unauthorized disclosure or copying of proprietary materials.

To the extent permitted by applicable law, the Company's aggregate liability arising from the agreement is limited to the fees you paid for the Service during the 12 months before the event giving rise to the claim. This limit does not apply to liability that cannot lawfully be limited.

27. Disclaimers

To the extent permitted by law, the Service is provided on an "as is" and "as available" basis. We do not warrant uninterrupted or error-free operation, the accuracy of AI outputs, or a particular result. Keep backups of important Content. We are not responsible for transactions between you and third parties or disruptions outside our reasonable control, except as required by law.

To the extent permitted by law, we exclude liability for indirect or consequential losses, including lost profits, lost business opportunities, or lost data. These exclusions do not remove mandatory consumer protections or liability that cannot be excluded.

28. Severability

If a provision is held invalid or unenforceable, the remaining provisions continue to apply to the extent permitted by law.

29. Governing Law, Disputes, and Contact

These Terms are governed by the laws of the Republic of Korea. These Terms provide for arbitration under the domestic rules of the Korean Commercial Arbitration Board and, where court proceedings are brought, the Seoul Central District Court as the agreed court of first instance. These provisions do not override mandatory local consumer rights or jurisdiction rules.
